Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you (the "Customer") and WapiGrow, a product of iQra Info Services ("Company", "we", "us"), registered in India. By accessing or using our platform at wapigrow.com or any associated services, you confirm you have read and agree to these Terms and our Privacy Policy.

2. Our Services

WapiGrow provides a Software-as-a-Service (SaaS) platform that allows businesses to:

• Send WhatsApp broadcasts and marketing campaigns via the official WhatsApp Business API
• Build and deploy WhatsApp chatbots and automated flows
• Manage customer conversations through a shared team inbox
• Integrate with third-party tools (Shopify, WooCommerce, Zoho, etc.)
• Access analytics and reporting for WhatsApp campaigns

We reserve the right to modify, suspend or discontinue any feature at any time with reasonable notice.

3. Account Registration

• You must be at least 18 years old and have authority to bind your business to these Terms
• You are responsible for maintaining the confidentiality of your login credentials
• You must provide accurate and complete information during registration
• One account per business. You may not share accounts across unrelated businesses
• You are responsible for all activity that occurs under your account

4. Acceptable Use

You agree NOT to use WapiGrow to:

• Send spam, unsolicited messages or messages to contacts who have not opted in
• Violate WhatsApp's or Meta's Business Policies or Commerce Policies
• Send messages promoting illegal products, adult content, firearms, drugs or gambling
• Impersonate any person, business or brand
• Harvest or collect WhatsApp numbers without consent
• Circumvent platform limits or abuse the API
• Use our platform for any purpose that violates Indian law or any applicable law

Violation of acceptable use may result in immediate account suspension without refund and reporting to Meta.

5. WhatsApp & Meta Policies

WapiGrow operates as an official Meta Business Partner using the WhatsApp Business API. You acknowledge that:

• Your use of WhatsApp through our platform is subject to WhatsApp Business Policy and Meta's Advertising Standards
• Meta may independently suspend or ban your WhatsApp number — WapiGrow is not liable for such actions
• Message template approvals are at Meta's sole discretion
• WhatsApp conversation charges (Meta's fees) are separate from WapiGrow's subscription fees

6. Payment & Billing

• Subscription fees are billed monthly or annually in advance in Indian Rupees (INR)
• All prices are exclusive of applicable GST (currently 18%)
• Payment is processed by third-party gateways — see our Refund Policy
• Plans are activated manually within 2 business hours of confirmed payment
• We reserve the right to suspend access if a payment fails or is disputed
• Price changes will be communicated with 30 days' notice

7. Intellectual Property

All content, code, designs, trademarks and materials on the WapiGrow platform are owned by or licensed to us. You may not copy, reproduce or distribute any part of our platform without prior written consent.

You retain ownership of your data (customer contacts, message content, campaign data). You grant us a limited licence to process this data solely to provide our services.

8. Limitation of Liability

To the maximum extent permitted by Indian law, WapiGrow's total liability for any claim arising from these Terms is limited to the amount you paid us in the 3 months preceding the claim.

We are not liable for: indirect or consequential losses, loss of profits, loss of data, WhatsApp number suspensions by Meta, third-party integration failures, or delays beyond our reasonable control.

9. Termination

Either party may terminate this agreement:

• You: Cancel your subscription at any time from your account. Access continues until the end of the paid period
• Us: We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity or violate WhatsApp policies

Upon termination, your data will be retained per our Privacy Policy and then deleted.

10. Disputes & Governing Law

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved amicably. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

11. Changes to Terms

We may update these Terms from time to time. We will notify you by email and with a notice on the platform at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.
